Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Chinron platform and website. Chinron is a registered business name of Taruch Pty Ltd (ABN 86 699 259 053) ("Chinron", "we", "us"). By signing up for a Chinron account, clicking "I agree", or continuing to use the service, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
1. The service
Chinron provides a cloud-based cybersecurity awareness training platform ("Platform") that includes:
- AI-curated training courses
- Phishing simulation campaigns
- Deepfake detection challenges
- Training path management and compliance reporting
- An MSP portal for managed service providers
We may add, modify, or discontinue features with reasonable notice. We will not materially reduce the core service during a paid subscription period without offering a prorated refund.
2. Accounts and access
Administrator accounts
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at support@chinron.io if you suspect unauthorised access to your account. You are liable for all activity that occurs under your credentials.
End-user accounts
When an administrator imports employees into the Platform, those employees become end users of the service. The administrator is responsible for ensuring that end users are informed about the platform and that any applicable workplace policies (e.g. IT acceptable use policies) are met.
Age restriction
You must be at least 16 years old to use the Platform. The Platform is designed for workplace environments and is not intended for personal or consumer use.
3. Acceptable use
You agree not to:
- Use the Platform in a way that violates any applicable law or regulation
- Use phishing simulation features to target individuals outside your own organisation without their explicit consent
- Attempt to gain unauthorised access to other tenants' data or to Chinron infrastructure
- Scrape, crawl, or systematically extract data from the Platform via automated means
- Reverse-engineer, decompile, or attempt to extract source code from the Platform
- Resell or sublicense access to the Platform without a written MSP agreement with Chinron
- Use the Platform to harass, defame, or discriminate against any individual
- Upload content that contains malware, ransomware, or any malicious code
We reserve the right to suspend or terminate accounts that breach these conditions, with or without prior notice depending on the severity of the breach.
4. Phishing simulations — special conditions
Chinron's phishing simulation feature sends simulated phishing emails to employees you designate. By activating a phishing campaign, you represent that:
- You are authorised to conduct security awareness testing on behalf of your organisation
- You have disclosed (or will disclose in accordance with your workplace policies) that phishing simulations may be conducted
- The targeted employees are employed by or contractors of your organisation
- You will comply with all applicable employment laws regarding monitoring and testing
Chinron is not liable for any employment relations, legal, or regulatory consequences arising from your use of the phishing simulation feature.
5. Subscriptions, pricing and billing
Free trial
New accounts may access a 30-day free trial. No credit card is required to start a trial. At the end of the trial period, access will be suspended unless a paid subscription is activated. We do not auto-charge without your consent.
Paid subscriptions
Subscriptions are billed monthly or annually in advance based on the number of active users in your account. Current pricing is published at chinron.io/pricing. We will provide at least 30 days' notice of any price increases.
Overages
If your active user count exceeds your subscribed tier, we will notify you and your account will be automatically upgraded to the next tier at the next billing cycle.
Refunds
Monthly subscriptions are non-refundable once the billing period has started. Annual subscriptions may be cancelled within 14 days of payment for a prorated refund. If we discontinue the service, a full prorated refund for the remaining subscription period will be issued.
6. MSP and reseller program
Managed Service Providers (MSPs) who resell Chinron to their clients are subject to a separate MSP Partner Agreement. Contact us at ask@chinron.io to enrol in the program. MSP accounts are billed based on the total active users across their entire client portfolio.
7. Intellectual property
Platform IP
All software, design, course content, and training materials provided by Chinron are owned by or licensed to Taruch Pty Ltd. Nothing in these Terms transfers ownership of Chinron's intellectual property to you. You are granted a limited, non-exclusive, non-transferable licence to use the Platform during your subscription.
Your content
Any content you upload to the Platform (e.g. company logos, custom course content) remains your property. You grant us a limited licence to store and display that content to deliver the service. We will not use your content for any other purpose.
8. Data and privacy
Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. In summary:
- Employee training data is stored in the region of the Chinron platform your organisation is provisioned on
- We do not sell or share employee data with third parties for advertising purposes
- We act as a data processor on your behalf for employee personal information; you remain the data controller
Self-service signup is available only for regions we have already deployed. Where you require a region that is not yet live, we provision a region-native platform before onboarding you, so your data is not held outside your region in the interim. The current list of live and on-request regions is in our Privacy Policy.
If you are subject to GDPR, the UK GDPR, or similar data protection law, contact us before onboarding and we will execute a Data Processing Agreement (DPA) with you.
9. Service levels and availability
We aim for 99.5% monthly uptime for the Platform. This is a service target rather than a contractual guarantee, and does not carry service credits — where you require a committed SLA with remedies, we can agree one in writing as part of an enterprise or MSP agreement.
Planned maintenance will be communicated with at least 24 hours' notice. We are not liable for downtime caused by factors outside our reasonable control (e.g. upstream cloud provider outages, DNS failures, force majeure events).
10. Limitation of liability
To the maximum extent permitted by Australian law:
- Chinron's total liability to you for any claim arising from these Terms or your use of the Platform is limited to the fees you paid in the 12 months preceding the claim
- We are not liable for indirect, incidental, special, punitive, or consequential damages (including loss of revenue, profits, data, or goodwill)
- We do not warrant that the Platform will be error-free or that phishing simulations will achieve any specific security outcome
Nothing in these Terms limits liability that cannot be excluded under applicable Australian consumer law.
11. Indemnification
You agree to indemnify and hold harmless Chinron, its directors, employees and contractors from any claims, damages, or expenses (including legal fees) arising from: (a) your breach of these Terms; (b) your use of the Platform in a manner not authorised by these Terms; or (c) your violation of any applicable law.
12. Termination
Either party may terminate a subscription with 30 days' written notice. We may terminate immediately if you materially breach these Terms.
After termination we retain your account data for 90 days so that it can be recovered or exported, then delete it in accordance with our Privacy Policy. You may request deletion sooner, or an export at any point during that window.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated to account administrators by email at least 14 days before taking effect. Continued use of the Platform after that date constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of Queensland, Australia. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of Queensland, unless we agree in writing to an alternative dispute resolution process.
